Section 1: Acceptance of These Terms
These Terms and Conditions establish the basis on which wordhivestudio.com (the Online Service) is made available. the Online Service is operated under the trade name Wordhive Studio for search-focused content production. Using the Online Service means a person accepts these Terms.
In these Terms, any person who accesses or uses the Online Service is referred to as a Viewer. If a Viewer is entering into these Terms on behalf of a company or other organization, that Viewer represents that they have authority to bind that organization. Anyone who does not agree to these Terms must not use the Online Service.
Section 2: Eligibility
the Online Service is intended for business and professional use by persons who are at least 18 years old and able to form a binding contract. By using the Online Service, a Viewer represents and warrants that they meet these requirements.
Section 3: The Services
the Online Service presents information about Wordhive Studio and its search-focused content production services and provides a means to make contact. The content on the Online Service is provided for general informational purposes. Nothing on the Online Service constitutes an offer capable of acceptance, and no engagement arises until it is agreed separately and in writing. Wordhive Studio may modify, suspend, or discontinue any part of the Online Service at any time without notice.
Section 4: No Professional Advice; Results Not Guaranteed
Information on the Online Service is general in nature and is not professional, legal, financial, or other specialized advice. A Viewer should not act on it without obtaining advice suited to their own circumstances.
ANY RESULTS, METRICS, CASE EXAMPLES, OR PERFORMANCE FIGURES SHOWN ON THE ONLINE SERVICE ARE ILLUSTRATIVE ONLY. THEY REFLECT PARTICULAR SITUATIONS, ARE NOT A PROMISE OR GUARANTEE OF ANY OUTCOME, AND SHOULD NOT BE RELIED ON AS AN INDICATION OF WHAT ANY PARTICULAR ENGAGEMENT WILL ACHIEVE. ACTUAL RESULTS DEPEND ON MANY FACTORS OUTSIDE ANYONE'S CONTROL.
Section 5: Submissions and No Confidential Relationship
Messages sent through the contact form or otherwise to Wordhive Studio are not treated as confidential or proprietary unless a separate written agreement says so. A Viewer should not send sensitive, secret, or privileged information through the Online Service. By making a submission, a Viewer grants Wordhive Studio the right to use its contents for the purpose of responding and for ordinary business record-keeping. No submission creates any professional, agency, fiduciary, or employment relationship.
Section 6: Intellectual Property
the Online Service and its contents, including text, graphics, logos, layout, and the trade name Wordhive Studio, are owned by or licensed to the operator of the Online Service and are protected by intellectual-property laws. A Viewer may view and use the Online Service for its intended purpose but may not copy, reproduce, republish, distribute, or create derivative works from its content without prior written permission, except as ordinary browsing permits.
Section 7: Acceptable Use
A Viewer agrees not to:
- use the Online Service for any unlawful purpose or in violation of these Terms;
- attempt to gain unauthorized access to the Online Service or any related system or network;
- interfere with or disrupt the operation of the Online Service, including by introducing malware or excessive automated requests;
- scrape, harvest, or collect information about others from the Online Service without consent;
- submit false, misleading, or fraudulent information; or
- use the Online Service to transmit unsolicited or unauthorized advertising.
Section 8: Third-Party Links and Resources
the Online Service may contain links to third-party websites, tools, or resources that are not operated or controlled by Wordhive Studio. Those links are provided for convenience only. Wordhive Studio does not endorse and is not responsible for the content, products, services, or practices of any third party, and a Viewer accesses third-party resources at their own risk and subject to the third party's own terms.
Section 9: No Payments Collected Through This Site
the Online Service does not sell products and does not request or process payments, card details, or banking information through its pages. Wordhive Studio will never ask for payment through the Online Service. Any message claiming to collect a payment on behalf of Wordhive Studio through the Online Service should be treated as suspect, and any such request may be reported using the contact details below.
Section 10: Disclaimer of Warranties
THE ONLINE SERVICE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO WARRANTY IS MADE THAT THE ONLINE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Section 11: Limitation of Liability
In this section, Wordhive Studio together with its owners, operators, members, employees, contractors, and agents are referred to as the Beneficiary Parties.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE BENEFICIARY PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE ONLINE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF THE BENEFICIARY PARTIES FOR ALL CLAIMS RELATING TO THE ONLINE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to a particular Viewer. In that case, liability is limited to the greatest extent permitted by law.
Section 12: Indemnification
A Viewer agrees to indemnify, defend, and hold harmless the Beneficiary Parties from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with the Viewer's use of the Online Service, violation of these Terms, or infringement of any right of a third party.
Section 13: Dispute Resolution and Binding Arbitration
Informal Resolution. Before starting any formal proceeding, a Viewer agrees to first contact Wordhive Studio using the details below and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Agreement to Arbitrate. Any dispute, claim, or controversy arising out of or relating to the Online Service or these Terms that is not resolved informally will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted remotely by videoconference or, where that is not practicable, in the United States. Judgment on the award may be entered in any court of competent jurisdiction.
Class-Action Waiver. All disputes will be arbitrated on an individual basis. A Viewer and Wordhive Studio each waive any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims or preside over any form of representative proceeding.
Opt-Out. A Viewer may opt out of this arbitration agreement by sending written notice to the contact email below within thirty (30) days of first using the Online Service. A valid opt-out does not affect any other provision of these Terms.
Section 14: Governing Law and Jurisdiction
These Terms and any dispute arising under them are governed by the federal laws of the United States, without regard to conflict-of-laws principles. To the extent any matter is not subject to arbitration as described above, it will be brought exclusively in the competent federal courts of the United States, and each Viewer consents to the jurisdiction of those courts.
Section 15: Changes to These Terms
From time to time this document may be amended. Any amendment takes effect once posted here. The effective date indicates when the current version was last revised.
Section 16: General Provisions
Severability. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.
Entire Agreement. These Terms, together with the Privacy Policy, make up the entire agreement between a Viewer and Wordhive Studio regarding the Online Service and supersede any prior understanding on that subject.
Assignment. A Viewer may not assign or transfer these Terms without prior written consent. Wordhive Studio may assign these Terms freely, including in connection with any transfer of the business operated under its trade name.
No Waiver. A failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.
Force Majeure. Wordhive Studio is not responsible for any failure or delay caused by events beyond its reasonable control, including acts of nature, outages, labor disputes, or governmental action.
